CABLE COMMUNICATIONS
FRANCHISE AGREEMENT
VILLAGE OF PIGEON, MICHIGAN
Ord. No. 89, adopt. Jan. 10, 1983

THIS AGREEMENT, made and entered into on the 13th day of December, A.D., 1982 by and between the Village of Pigeon, Michigan, duly organized under the applicable laws of the State of Michigan, all having their principal offices located at 29 North Main Street, Pigeon, Michigan, and Pioneer Cablevision, 24391 Hazelhurst Avenue, Southfield, Michigan 48034 (``grantee'').

WITNESSETH:

WHEREAS, the village/township has followed the provisions of the ordinances (as hereinafter defined) adopted by the township and village;

WHEREAS, the village/township has provided reasonable notice and conducted a full public hearing, which afforded all persons reasonable opportunity to be heard, and was concerned with the analysis and consideration of the technical ability, financial condition, legal qualification, and general character of the grantee; and

WHEREAS, the village/township, after such consideration, analysis and deliberation, has approved and found sufficient the technical ability, financial condition, legal qualification, and character of said grantee; and

WHEREAS, the village/township has also considered and analyzed the plans of the grantee for the construction and operation of a cable television system and found the same to be adequate and feasible in view of the needs and requirements of the area; and

WHEREAS, the village/township has determined that it is in the best interests of, and consistent with the health, safety and welfare of the citizens of the area to grant a cable communications franchise to grantee to operate a cable television system within the area, on the terms and conditions set forth herein; and

WHEREAS, grantee has agreed to be bound by the conditions hereinafter set forth;

NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
